- • Serve as the primary legal negotiator for U.S. federal government and U.S. state, local, and education (SLED) contracts, including prime contracts, subcontracts, teaming agreements, master term agreements, vendor agreements, and commercial standard terms such as data center agreements, End User License Agreements, and professional service Statements of Work.
- • Draft, redline, and negotiate contracts within federal government procurement frameworks, ensuring strict compliance with the Federal Acquisition Regulation (FAR), Defense Federal Acquisition Regulation Supplement (DFARS), General Services Administration (GSA) regulations, and diverse U.S. SLED procurement requirements.
- • Interpret and apply FAR-based commercial services contracting rules, particularly FAR Part 12, to evaluate and structure proposals and contracts for commercial services provided to public sector customers.
- • Review and analyze U.S. federal and SLED Request for Proposal/Information/Quotation (RFx) documents to identify legal, financial, and operational risks, and provide strategic redlines and risk-mitigation guidance to internal proposal and business teams.
- • Collaborate closely with internal stakeholders across legal, contracts management, and business units to bid on, win, and manage complex public sector contracts involving system integrators, channel partners, and government customers.
- • Advise senior management and business units on post-award contract matters, including contract modifications, performance obligations, compliance requirements, and rights under awarded contracts.
- • Provide legal counsel on commercial agreements that have public sector touchpoints, ensuring alignment with applicable regulatory frameworks and company policies.
- • Maintain a high volume of contract activity while managing multiple concurrent negotiations and deadlines in a fast-paced, collaborative environment.
- • Apply independent judgment and creativity to resolve complex legal and compliance issues arising from public sector contracting, balancing business objectives with regulatory constraints.
- • Communicate clearly and effectively with internal teams and external parties through both verbal and written means, including formal contract language, memos, and stakeholder briefings.
- • Support the growth of Iron Mountain’s Government Solutions business by enabling high-stakes transactions that align with the company’s strategic objectives and compliance standards.
🎯 Requirements
- • 5+ years of law firm or corporate in-house experience in U.S. federal government and U.S. SLED contracting, including commercial services (FAR Part 12) and GSA contracting
- • Strong knowledge of drafting, analyzing, and negotiating public sector agreements such as non-disclosure agreements, subcontracts, and teaming agreements, and reviewing terms in RFPs, RFQs, and RFIs
- • Juris Doctor (J.D.) degree from an accredited law school and active admission to practice law in at least one U.S. jurisdiction
- • Proven independent judgment and creativity to resolve complex contract and compliance issues in a cross-functional environment
- • Excellent organizational, time management, communication (verbal and written), and upper-level stakeholder negotiation skills
