- • As a key member of our dynamic, fast-paced, and cross-functional legal team, you will play a pivotal role in supporting all facets of the organization. This position offers an unparalleled opportunity to actively shape the future of enterprise AI and engage in some of the most intellectually stimulating and complex commercial negotiations on a global scale. You will collaborate closely with our go-to-market teams, product development, compliance departments, and a wide array of other cross-functional stakeholders. Your expertise will be crucial in shaping and scaling Cohere’s innovative B2B enterprise AI solutions, ensuring legal frameworks support our ambitious growth and technological advancements.
- • In this Senior Counsel role, you will be the primary legal driver for Cohere’s commercial technology initiatives. This includes the strategic structuring, meticulous drafting, skillful negotiation, and thorough review of a diverse range of complex commercial arrangements. You will be instrumental in safeguarding Cohere’s interests while facilitating innovative partnerships and customer agreements. Your responsibilities will extend to providing invaluable mentorship and support to other talented members of Cohere’s legal team, fostering their professional growth and contributing to the team's overall expertise and efficiency.
- • A significant aspect of your role will involve direct engagement with enterprise clients, strategic partners, external advisors, and vendors. You will navigate and resolve intricate legal matters pertaining to commercial contracting, ensuring clarity, compliance, and mutual benefit. Furthermore, you will collaborate proactively with internal stakeholders and leadership across various departments to address and resolve a broad spectrum of legal challenges, ensuring seamless operations and strategic alignment.
- • You will be instrumental in building out our legal strategy and continuously refining our processes. This encompasses optimizing customer acquisition pathways, enhancing vendor management protocols, and solidifying frameworks for strategic partnerships. A key focus will be on overseeing and managing our contract lifecycle management tools, ensuring company policies and procedures are robust, up-to-date, and effectively implemented to support our rapid growth.
- • Your role will also involve providing essential legal guidance, advice, and education to the entire organization. You will proactively identify and communicate commercial risks and opportunities, staying abreast of new developments in the law, particularly those impacting the AI landscape. A critical objective will be to optimize our contracting processes, creating significant operational efficiencies that empower company objectives, accelerate growth, and reduce friction in our business dealings. This includes developing playbooks, standardizing terms, and implementing best practices to streamline negotiations and contract execution, thereby enabling the business to move faster and more confidently.

🎯 Requirements
- • Minimum of 7+ years of experience in private practice and/or in-house, with a strong focus on technology contracting with sophisticated enterprises.
- • Proven experience with cross-border transactions and negotiating with counterparties in multiple jurisdictions (e.g., Canada, US, UK/EU).
- • Extensive experience negotiating Master Services Agreements (MSAs), order forms, statements of work (SOWs), and professional services agreements.
- • Familiarity with existing and proposed regulations and issues impacting artificial intelligence.
- • Experience leading legal negotiations on a variety of complex commercial arrangements, ideally with respect to AI issues.
