  • • As a Senior Legal Contract Manager (Attorney) at Worldwide Clinical Trials, you will be instrumental in managing the full lifecycle of sponsor contracts. This pivotal role involves the independent drafting, meticulous review, expert negotiation, and comprehensive management of a wide array of contracts and amendments. You will primarily focus on Master Services Agreements (MSAs) and Non-Disclosure Confidentiality Agreements (NDAs) on a global scale, operating with minimal supervision. Your responsibilities extend to ensuring all contractual terms align with Worldwide's established positions, policies, procedures, and applicable laws, while also safeguarding the company's interests.
  • • Key responsibilities include:
  • • Independently drafting, reviewing, negotiating, and managing various contracts and amendments, including Master Services Agreements (MSAs) and Non-Disclosure Confidentiality Agreements (NDAs) globally, with a high degree of autonomy and minimal supervision.
  • • Providing critical support to the broader legal contracts team in the creation and refinement of contract templates, fallback positions, and other essential contracting initiatives.
  • • Applying Worldwide's established fallback positions consistently across all negotiated contracts to ensure adherence to company standards and risk mitigation.
  • • Serving as a key liaison between internal stakeholders and external clients, ensuring that contractual terms requested by sponsors, which deviate from standard fallback positions, are thoroughly reviewed and approved by the relevant internal departments.
  • • Collaborating closely with business development managers, therapeutic area leaders, Operations, Legal, and Finance departments to guarantee that all sponsor contracts accurately reflect the operational and legal agreements established between Worldwide and its clients.
  • • Efficiently and accurately integrating approved changes into contract documents, maintaining clarity and precision throughout the negotiation process.
  • • Interacting professionally with clients and other stakeholders via email, internal calls, and dedicated sponsor negotiation finalization calls, fostering strong working relationships.
  • • Proactively managing the overall contract process and activities to ensure the timely execution of sponsor contracts, demonstrating flexibility and effective prioritization to meet critical business goals and deadlines.
  • • Re-prioritizing tasks dynamically based on urgent requests and evolving business needs, ensuring that critical path items are addressed promptly.
  • • Anticipating potential contractual issues at the earliest stages of negotiation and proactively proposing effective solutions grounded in a deep understanding of Worldwide's standard positions and risk tolerance.
  • • Acting as a central point of contact for all contractual matters, providing expert contractual input, strategic advice, and guidance to internal teams and external parties.
  • • Meticulously reviewing, commenting on, and negotiating contracts with sponsors, including redlining and editing sponsor-provided templates and original text to ensure alignment with Worldwide's standard clauses and requirements.
  • • Providing peer review and feedback on contracts for colleagues prior to finalization, contributing to the overall quality and consistency of legal documentation.
  • • Developing and maintaining essential contracting tools, templates, and processes as an integral part of the Legal Contracts Team, enhancing efficiency and standardization.
  • • Setting up and leading conference calls to facilitate the negotiation and finalization of contractual terms with sponsors, ensuring productive and outcome-oriented discussions.
  • • Ensuring that all approved changes are accurately integrated into the final contract and that necessary approvals for any non-standard terms have been secured from the applicable internal stakeholders.
  • • Overseeing the quality control of the execution copy of the final contractual document, adhering to internal team QC guidelines to ensure a high-quality deliverable.
  • • Maintaining accurate and up-to-date tracking of document status through routine updates to Salesforce and ensuring the proper filing of all finalized contracts in SharePoint for easy retrieval and record-keeping.
  • • Demonstrating the ability to work varied and flexible hours as required to meet business demands and project timelines.
  • • Bringing a proactive, problem-solving mindset, coupled with a practical passion for delivering exceptional results with continuous improvement.
  • • Advising and interacting effectively with internal stakeholders at all levels, fostering strong cross-functional collaboration and understanding.
  • • Possessing excellent customer relationship management skills and strong commercial acumen to navigate complex client interactions and business objectives.
