📋 Description

  • • Senior Legal Counsel at Ruby Labs Ltd. is a pivotal role responsible for safeguarding the legal integrity and regulatory compliance of an international tech holding group operating across multiple jurisdictions including the US, Cyprus, Malta, the UK, Singapore, and others. This position ensures that the company’s corporate structure, intellectual property, tax positioning, and equity programs are legally sound, defensible, and aligned with global business objectives.
  • • The role demands a strategic, business-minded legal expert who can navigate complex cross-border legal landscapes while enabling scalable growth through precise documentation, proactive risk management, and effective collaboration with internal and external stakeholders.
  • • Day-to-day responsibilities include drafting, reviewing, and maintaining corporate governance documents such as board resolutions, articles of association, memoranda, and corporate policies across all group entities.
  • • Preparing and updating intra-group agreements including intercompany service agreements, licensing and IP agreements, cost-sharing arrangements, management and advisory agreements, loan agreements, and transfer pricing documentation in coordination with tax advisors.
  • • Developing and maintaining comprehensive corporate records and economic substance files (defence files) for each entity to demonstrate genuine economic activity and withstand regulatory scrutiny in jurisdictions of incorporation.
  • • Leading the preparation and ongoing maintenance of audit-ready defence files for tax and regulatory purposes, ensuring they reflect real business operations and support the group’s tax positions.
  • • Reviewing, drafting, and optimizing contracts to support transfer pricing and tax compliance, working closely with the tax department to fortify the group’s legal and tax positions.
  • • Monitoring regulatory and legislative developments across all jurisdictions of operation and advising management on emerging risks and required actions.
  • • Managing the legal components of equity incentive and stock vesting programs, including drafting vesting/share purchase agreements, overseeing share transfers and issuances, maintaining cap table accuracy, and securing necessary board and shareholder approvals.
  • • Managing the group’s intellectual property portfolio, including trademark registration, protection, licensing, and enforcement strategies.
  • • Handling all stages of dispute resolution, from pre-litigation claims and regulatory inquiries to formal proceedings, including instructing external counsel, controlling legal strategy and costs, and advising on settlement or enforcement options.
  • • Building and managing a network of trusted external legal advisors in key jurisdictions, coordinating engagements, ensuring quality, and controlling costs.
  • • Developing internal legal processes, knowledge management systems, and reporting frameworks to improve efficiency and consistency across the legal function.

🎯 Requirements

  • • 7+ years post-qualification experience in corporate/commercial law with a focus on international and cross-border matters.
  • • Admitted to practice as a lawyer (Bar, Law Society, or equivalent) in a jurisdiction such as the EU, England & Wales, US State Bar, or Singapore.
  • • Proven experience in-house at an international holding/group with multi-jurisdictional subsidiaries, or from a top-tier law firm (Magic Circle, Silver Circle, Big Four legal, or reputable international/offshore firm).
  • • Working knowledge of both English and US contract and corporate law.
  • • Demonstrated expertise in drafting and managing intra-group agreements, IP licensing, corporate governance documents, substance/defence files, share incentive schemes, and IP portfolio management.
  • • Exceptional English legal drafting skills — ability to produce clear, precise, and commercially sound documents.
  • • Strong analytical and strategic thinking — capable of viewing the legal structure of a multinational group holistically to identify risks and opportunities.
  • • Deep understanding of economic substance requirements (EU ATAD, CRS, BEPS, and local substance laws in Cyprus, Singapore, US, etc.) and transfer pricing principles.
  • • Excellent project management skills — able to manage multiple jurisdictions, deadlines, and external advisors simultaneously.
  • • Strong communication skills — able to explain complex legal concepts to non-legal audiences and influence business decisions.
  • • High autonomy, ownership, and commercial acumen — self-driven, solutions-oriented, and able to thrive in a lean team environment.
