  • • Serve as the first in-house Legal Counsel to build AirGarage’s legal function from the ground up, owning all legal matters across a fast-growing, operationally complex company operating in 40+ states.
  • • Draft, negotiate, and close commercial contracts with property owners, vendors, strategic partners, and technology providers, while building scalable templates, playbooks, and fallback positions to enable sales and operations teams to move quickly with guardrails.
  • • Support end-to-end M&A execution, including due diligence, LOIs, purchase agreements, ancillary documents, closings, and post-close integration, developing repeatable processes to scale deal volume efficiently.
  • • Partner with leadership and third-party partners on direct real estate acquisitions, handling entity structuring, purchase agreements, title and diligence review, zoning and land use analysis, and financing documentation.
  • • Own multi-state regulatory and permitting compliance across 40+ states, proactively monitoring and adapting to evolving regulations including municipal parking ordinances, state-level data privacy laws, and ALPR statutes.
  • • Manage data privacy and governance practices related to license plate recognition (LPR), camera systems, and driver data, ensuring compliance with California’s ALPR statute and analogous laws nationwide.
  • • Oversee AirGarage’s intellectual property portfolio, including trademarks, patents, and trade secrets; coordinate with outside counsel on prosecution and maintenance of filings, and establish internal processes to identify and protect new IP.
  • • Advise on employment law matters across multiple states, including offer letters, terminations, independent contractor classification, handbook policies, and state-specific compliance, serving as a trusted partner to leadership and recruiting on sensitive people issues.
  • • Manage relationships with external legal counsel for litigation, complex transactions, antitrust review, and specialized regulatory matters, ensuring scoped engagements and disciplined spend.
  • • Collaborate with the CEO and VP of Finance on corporate governance, cap table management, investor rights agreements, and data room readiness for future fundraising rounds.
  • • Design and implement legal operating systems, including contract lifecycle management, policy documentation, intake processes, and approval workflows, leveraging tools to scale the legal function without proportional headcount growth.
  • • Act as a strategic business partner to the CEO and leadership team, focusing on enabling growth by finding the fastest, safest path to yes—transforming legal from a bottleneck into a competitive advantage.
  • • Travel approximately 6 weeks per year for company offsites, location launch support, and in-person onboarding sessions; remote work is permitted year-round within U.S. time zones.
  • • Maintain a bias for action, embracing ambiguity and imperfect information to make timely, judgment-driven decisions that align legal strategy with business objectives.
  • • Build legal infrastructure from scratch, including SOPs, playbooks, and compliance systems, with a builder mentality focused on creating systems that outlast individual transactions.
  • • Operate as a solo legal function with full ownership of legal risk, compliance posture, and deal execution speed; no delegation of core legal work to associates.

🎯 Requirements

  • • Hands-on experience as the sole or primary legal person at a high-growth company, personally drafting contracts, managing compliance, running diligence, and advising leadership.
  • • Proven transaction experience supporting multiple M&A deals at a growth-stage company, including diligence, purchase agreements, and post-close integration.
  • • Multi-state operational fluency advising businesses with physical assets or services across 40+ states, with deep understanding of patchwork state and local regulations.
  • • Strong command of commercial contracts (MSAs, SOWs, licensing, revenue-share, partnerships), including drafting from scratch, negotiating with sophistication, and creating self-service templates.
  • • Familiarity with data privacy regulations, particularly as they relate to cameras, LPR/ALPR, and location data, with experience building privacy policies and compliance programs.
  • • Builder mentality with a track record of creating legal playbooks, SOPs, and contract management infrastructure from scratch.
