- • As a Senior Product Counsel specializing in Lending at Column, you will be at the forefront of innovation in the financial technology space, providing critical legal and strategic guidance for our burgeoning credit partnerships. This pivotal role involves deep engagement with consumer and commercial loan origination, lines of credit, loan participations, and a variety of other bank-fintech lending collaborations. You will not be a passive advisor; instead, you will be an integral strategic partner, working hand-in-hand with our Go-to-Market, Engineering, Compliance, Risk, and Finance departments to propel product development and market expansion forward. Your unique insights, honed from prior experience in launching lending products, will be indispensable as we navigate the intricate regulatory landscape while simultaneously maintaining and enhancing our competitive advantage.
- • This position offers an unparalleled level of ownership, distinguishing itself from typical in-house counsel roles. You will be the primary decision-maker for product legal strategy, enjoying direct access to senior leadership and wielding significant influence over Column’s approach to regulatory compliance and the strategic direction of product development. Every fintech partnership represents a unique opportunity to conceptualize and build novel banking products. In this role, you will not only have a seat at the table but will be instrumental in driving the strategy and execution of these initiatives from their inception through to successful launch.
- • This is a highly hands-on and customer-facing position, requiring close collaboration with our fintech partners. You will work diligently with these partners to navigate the complex consumer protection frameworks that govern bank-fintech lending relationships. Your objective will be to ensure that each program is established on a robust and defensible legal and regulatory foundation, while still allowing for the flexibility required for modern, agile product offerings. When our fintech partners present us with a rapid succession of innovative ideas for new features, alternative delivery channels, novel product structures, or user experience enhancements, you will be the key individual responsible for collaboratively charting a clear and effective path to market launch. You will operate with agility, balancing bank-grade legal rigor with the speed demanded by the fintech industry.
- • You will be responsible for driving product strategy and innovation across our entire credit and lending portfolio, serving as the primary legal voice that enables and guides product development. From the initial ideation phase through to product launch, you will partner closely with business teams and fintech collaborators, proactively identifying potential challenges and architecting creative, effective solutions that strike an optimal balance between business objectives and stringent regulatory requirements. A significant part of your role will involve advising on the intricate structuring of credit products and thoroughly assessing the legal implications of new lending features and partnership models.
- • A core component of your responsibilities will be to build and continuously evolve the regulatory frameworks that underpin both our existing and future products. You will leverage your profound expertise in key regulations such as TILA, ECOA, UDAAP, FCRA, state usury and licensing laws, the rapidly developing EWA (Earned Wage Access) space, federal preemption doctrines, and the nuances of true lender risk. You will collaborate closely with our compliance and risk management teams to devise scalable, effective approaches that safeguard the company while simultaneously facilitating sustained growth.
- • You will serve as the definitive subject matter expert on all legal and regulatory requirements pertinent to the credit and lending business lines. This includes disseminating insights on emerging regulatory developments and their practical ramifications for our operations. Your contributions will be vital in establishing Column as a recognized thought leader within the banking infrastructure sector.
- • A significant aspect of your role will involve leading the legal structuring of various partnership agreements, including loan agreements, line of credit products, EWA lending and non-lending offerings, and Buy Now, Pay Later (BNPL) partnerships. You will be responsible for drafting and meticulously reviewing key customer-facing terms and marketing collateral, designing compliant onboarding flows and application processes, determining applicable BSA/AML requirements, conducting thorough true lender analyses, and overseeing every legal detail associated with launching a new Column-backed product. Close collaboration with the engineering team will be essential to design appropriate flow-of-funds models and accurately reflect these product structures in all legal documentation.
- • You will be encouraged to embrace and actively drive the adoption of cutting-edge technology, including Artificial Intelligence (AI) and automation tools, to enhance the efficiency, speed, and scalability of our legal workflows. You will identify opportunities where AI can be leveraged and partner with engineering teams to develop bespoke legal tooling that provides Column with a distinct structural advantage in the market.
- • Finally, you will play a crucial role in designing and implementing legal processes that are capable of scaling effectively alongside our hypergrowth trajectory. This includes improving the efficiency of partner onboarding while upholding rigorous compliance standards. You will build repeatable, robust frameworks that empower the business to accelerate its pace of innovation and execution. Developing standardized template loan program agreements, comprehensive disclosure packages, and adaptable servicing frameworks will be key to accelerating the launch of new partnerships.
🎯 Requirements
- • J.D. or equivalent degree, currently licensed to practice law in a U.S. state, with 7-15+ years of legal experience. Priority will be given to candidates possessing a blend of law firm experience and in-house experience at a fintech company and/or a financial institution.
- • Demonstrated deep expertise in advising product teams on banking infrastructure and embedded finance solutions, with a particular focus and extensive knowledge of consumer and/or commercial lending regulatory frameworks.
- • Comprehensive understanding of the complex regulatory landscape governing banking partnerships and fintech services.
- • In-depth working knowledge of key regulations including TILA/Regulation Z, ECOA/Regulation B, FCRA, UDAAP, state usury laws, rate exportation and valid-when-made frameworks, state licensing regimes (servicing and collections), BSA/AML, and the true lender doctrine.
- • Proven experience in structuring agreements and providing legal counsel for bank-fintech lending partnerships.
- • Familiarity with loan sale, participation, and servicing agreements.
- • A strong enthusiasm for working at the nexus of fintech and traditional banking innovation, coupled with a demonstrated ability to make swift, sound, and well-supported risk-based decisions, particularly in situations where the legal landscape is ambiguous or evolving.
