  • • As a Sr. Corporate Counsel, your responsibilities will be broad and impactful. You will be responsible for drafting, reviewing, and negotiating a wide array of commercial contracts, including SaaS agreements, partnership agreements, vendor contracts, and other strategic alliances. This involves understanding business objectives, identifying potential legal risks, and developing practical, business-oriented solutions.
  • • You will play a significant role in advising on and managing Pendo's corporate governance matters. This includes assisting with board and committee meetings, preparing minutes, maintaining corporate records, and ensuring compliance with all applicable corporate laws and regulations. Your insights will be crucial in maintaining the integrity and efficiency of Pendo's corporate structure.
  • • A key aspect of this role involves providing proactive legal guidance on a variety of matters, including intellectual property, data privacy and security, employment law, and regulatory compliance. You will stay abreast of evolving legal and regulatory requirements impacting the SaaS industry and Pendo's business, translating complex legal concepts into actionable advice for non-legal stakeholders.
  • • You will be expected to manage and resolve legal disputes and claims, working with external counsel when necessary. This includes conducting investigations, assessing liability, and developing strategies for resolution, always with a view to protecting Pendo's interests and reputation.
  • • Collaboration is at the heart of this role. You will work closely with Sales, Marketing, Engineering, Product, Finance, and People Operations teams to understand their needs, provide timely and effective legal support, and foster a culture of legal awareness and compliance throughout the organization.
  • • You will contribute to the development and implementation of legal policies, procedures, and training programs to ensure Pendo operates ethically and in accordance with all applicable laws and best practices. This includes developing and delivering training on topics such as contract negotiation, data privacy, and compliance.
  • • The Sr. Corporate Counsel will also be involved in supporting Pendo's strategic initiatives, including potential mergers, acquisitions, and other corporate transactions. This will require conducting due diligence, drafting transaction documents, and coordinating with internal and external advisors.
  • • You will be a trusted advisor, building strong relationships across the company and earning the confidence of colleagues at all levels. Your ability to communicate complex legal issues clearly and concisely, both verbally and in writing, will be essential for your success.
  • • This role demands a proactive, self-starter mentality with the ability to manage multiple priorities in a fast-paced, high-growth environment. You should be comfortable working independently while also being an effective team player, contributing to a positive and collaborative legal department culture.
  • • Ultimately, you will help Pendo navigate the complexities of global expansion, ensuring that our legal strategies support our business objectives and uphold our commitment to integrity, compliance, and customer trust. 🎯 Requirements

  • • Juris Doctor (JD) degree from an accredited law school and admission to at least one state bar in good standing.
  • • Minimum of 5-7 years of relevant legal experience, with a significant portion gained at a reputable law firm and/or in-house at a technology or SaaS company.
  • • Strong experience in commercial contract drafting, negotiation, and review, particularly SaaS agreements, with a keen understanding of common SaaS legal issues and best practices.
  • • Familiarity with corporate governance, intellectual property law, data privacy regulations (e.g., GDPR, CCPA), and general corporate compliance matters.
  • • Excellent written and verbal communication skills, with the ability to explain complex legal concepts to non-legal audiences.
  • • Ability to manage multiple projects simultaneously, prioritize effectively, and meet deadlines in a fast-paced environment.
