  • • Nielsen is seeking a highly skilled and business-oriented Senior Counsel to join our dynamic Legal Department, specifically within the Product & Digital Support team. This pivotal role will be instrumental in supporting Nielsen's Audience Measurement business, focusing on the cutting edge of product development, deployment, and the evolving digital media landscape.
  • • As a Senior Counsel, you will be a key advisor to our product, engineering, and data science teams, proactively identifying and strategically managing a wide spectrum of legal risks. This includes navigating complex contractual obligations, intricate regulatory frameworks, evolving data privacy laws, and other critical legal considerations inherent in developing and launching innovative products.
  • • Your responsibilities will extend beyond advisory functions to encompass the hands-on drafting and meticulous negotiation of a diverse range of agreements. These will include critical product-related contracts, strategic alliance agreements, essential supplier contracts, and complex commercial sales agreements. The subject matter of these agreements will span data and information, technology licensing, the rapidly advancing field of Artificial Intelligence (AI), and the intricacies of market research within the fast-paced media industry.

  • • Key duties and responsibilities include:
  • • Providing comprehensive legal support for the entire product lifecycle, from initial development through distribution and sales. This requires a deep ability to understand, interpret, and translate complex legal, business, and technical concepts into practical, business-oriented opinions on legal risks.
  • • Ensuring that all product initiatives are underpinned by appropriate and robust contractual terms that protect Nielsen's interests.
  • • Conducting thorough assessments of new product features, functionalities, and designs. This includes evaluating data processing proposals and other product-related initiatives to proactively identify potential legal issues.
  • • Strategically protecting Nielsen's valuable intellectual property rights throughout the product development process.
  • • Evaluating emerging issues related to the use of Artificial Intelligence (AI) in our products and services, ensuring responsible and compliant implementation.
  • • Guaranteeing strict compliance with all existing contractual commitments and applicable regulatory requirements.
  • • Drafting, meticulously reviewing, and skillfully negotiating a wide array of commercial contracts. This includes, but is not limited to, data supplier and integration agreements, inbound and outbound licensing agreements, technology services agreements, strategic alliance agreements, and critical supplier agreements.
  • • You will be responsible for managing these agreements throughout their lifecycle, ensuring ongoing compliance and addressing any potential issues that may arise.
  • • This role demands a proactive and strategic mindset, anticipating future legal challenges and developing frameworks to address them effectively.
  • • You will collaborate with cross-functional teams, including Product Management, Engineering, Data Science, Marketing, and Sales, to embed legal considerations early in the product development process.
  • • Staying abreast of the latest legal and regulatory developments in the media, technology, and data privacy spaces is crucial for providing timely and relevant advice.
  • • Contributing to the continuous improvement of legal processes and templates related to product development and commercial agreements.

🎯 Requirements

  • • Admission to practice law and be in good standing in at least one U.S. jurisdiction.
  • • A minimum of 5-7 years of relevant legal experience, with a significant portion focused on product counseling, commercial transactions, technology, data privacy, and intellectual property, preferably within the media, advertising, or technology sectors.
  • • Proven experience drafting and negotiating complex commercial agreements, including technology licenses, data use agreements, SaaS agreements, and partnership agreements.
  • • Strong understanding of data privacy laws and regulations (e.g., GDPR, CCPA) and their application to product development and data processing.
  • • Experience advising on intellectual property matters, including copyright, trademark, and patent considerations, particularly as they relate to technology and digital products.
  • • Familiarity with the legal and regulatory landscape surrounding Artificial Intelligence (AI), including issues related to data, bias, and intellectual property.
