- • As the Associate General Counsel at A Place for Mom, Inc., you will step into a pivotal role, serving as the second-in-line to the General Counsel and taking the reins of the day-to-day management and administration of our vital Legal Department. This position is designed for a seasoned legal professional who thrives in a dynamic, fast-paced environment and possesses a keen understanding of corporate law, compliance, and operational efficiency.
- • Your primary responsibility will be to ensure A Place for Mom operates in full compliance with all applicable state and federal laws and regulations. This involves a proactive approach to identifying potential legal risks and implementing robust strategies to mitigate them across all business operations and functions.
- • You will be instrumental in leading cross-functional engagement with internal business departments. This collaborative effort will focus on identifying and resolving complex legal issues, providing essential legal support to various business verticals, and ensuring that legal considerations are seamlessly integrated into strategic decision-making.
- • A significant aspect of your role will involve managing corporate governance matters and administering the company's equity plan. This requires meticulous attention to detail and a thorough understanding of securities law and corporate finance principles.
- • You will be a key negotiator of high-impact agreements, including vendor contracts, partnership agreements, and other critical business arrangements. Furthermore, you will serve as the primary escalation pathway for resolving contract disputes, demonstrating strong negotiation and problem-solving skills.
- • Close collaboration with the Human Resources department is essential. You will provide legal guidance on HR-related matters, including employee claims, policy development, and compliance with labor laws, ensuring a fair and legally sound workplace.
- • A crucial part of your mandate will be to draft, review, and update company policies and procedures. This ensures that our internal guidelines are current, comprehensive, and aligned with legal requirements and best practices.
- • You will partner closely with the Head of Government Affairs to navigate both proactive and reactive legislative activities. This involves staying abreast of relevant policy changes and contributing to the company's advocacy efforts.
- • In conjunction with the finance and banking teams, you will play a role in maintaining internal financial controls and supporting annual audit activities, ensuring financial integrity and compliance.
- • The management of our intellectual property portfolio will be under your purview, encompassing trademarks, copyrights, patents, and trade secrets. This includes developing strategies for protection, enforcement, and utilization of our IP assets.
- • You will serve as the Secretary to the 401(k) Committee, overseeing the administration and governance of our employee retirement savings plan.
- • This role demands a self-starter with an independent working style, capable of discerning when to escalate issues to the General Counsel and when to manage them autonomously. You will be expected to produce results with high efficiency and accuracy, balancing the need for risk mitigation with the agility required to support a rapidly growing technology company.
- • Ultimately, you will contribute significantly to the legal health and strategic direction of A Place for Mom, ensuring we continue to operate ethically, compliantly, and effectively as we guide families through the complexities of senior care.
