- • As Commercial Counsel, you will be a critical legal partner to our Go-To-Market (GTM) organization, playing a pivotal role in accelerating revenue generation while meticulously managing associated risks. This position requires a business-minded legal professional with extensive experience in drafting, redlining, and negotiating complex sales agreements with sophisticated global and domestic clients. You will collaborate closely with Sales, RevOps, Finance, Security, and Product teams to ensure efficient deal execution, balancing legal considerations with strategic business objectives.
- • Your primary responsibilities will include:
- • Providing expert legal support to LangChain's Sales and Partnerships teams by drafting, meticulously reviewing, and redlining a wide array of customer-facing commercial agreements. This includes Master Service Agreements (MSAs), Order Forms, Data Processing Addenda (DPAs), Security Addenda, and various amendments.
- • Directly negotiating with customer and partner legal counsel to facilitate the swift and successful execution of agreements, ensuring favorable terms for LangChain.
- • Acting as a trusted advisor to cross-functional stakeholders, offering practical, business-focused legal guidance that facilitates deal closure while upholding scalable contracting processes.
- • Advising on a broad spectrum of contractual issues, encompassing data protection, privacy, security, intellectual property rights, the nuances of AI and Large Language Model (LLM) usage, liability limitations, and compliance within a dynamic SaaS environment.
- • Proactively contributing to the enhancement and continuous improvement of our contract templates, playbooks, fallback positions, and negotiation guidelines, ensuring they remain current and effective.
- • Supporting critical cross-functional initiatives, including new product launches, the development of pricing strategies, the implementation of novel go-to-market motions, and the management of the customer lifecycle.
- • Identifying emerging trends in customer redlines and feedback, and leveraging this insight to evolve our standard commercial positions and negotiation strategies to support company scale and efficiency.
- • Collaborating with the Product and Engineering teams to understand new features and technologies, and translating these into clear, legally sound contractual terms.
- • Ensuring compliance with all relevant laws and regulations in the jurisdictions where LangChain operates and its customers are located.
- • Developing and maintaining strong working relationships with internal business teams, fostering a collaborative environment where legal is seen as a strategic partner.
- • Staying abreast of the rapidly evolving legal and regulatory landscape surrounding AI and data privacy, and advising the company on potential impacts and mitigation strategies.
- • Assisting in the development and implementation of internal legal policies and procedures related to commercial contracting.
- • Contributing to the overall risk management framework of the company by identifying, assessing, and mitigating legal risks associated with commercial agreements.
- • This role is based in our New York City office, operating under a hybrid work model that combines remote flexibility with essential in-person collaboration, including designated office days for team building and strategic alignment.
🎯 Requirements
- • 7-12 years of experience negotiating and drafting commercial sales agreements, with a strong preference for in-house experience at a SaaS, infrastructure, or technology company, or a top-tier law firm.
- • Demonstrated experience redlining complex agreements at scale, with a proven ability to manage a high volume of deals efficiently.
- • Working knowledge of data privacy (e.g., GDPR, CCPA), security, intellectual property, and technology contracting issues within a B2B SaaS context.
- • Comfort advising on emerging AI-related contractual issues, such as model outputs, data usage, acceptable use restrictions, and indemnification clauses.
- • Admitted to practice law in the applicable jurisdiction (New York preferred, or ability to register as in-house counsel in NY).
