  • • Draft, review, and negotiate the full lifecycle of LI.FI’s commercial agreements, including API integration agreements, master service agreements, partnership agreements, and term sheets, ensuring alignment with product distribution, pricing, and usage models
  • • Serve as the primary legal contact for integration partners, enterprise customers, and service providers during contract negotiations, handling multi-round redlines, coordinating calls with counterparty counsel, and driving agreements to execution
  • • Manage contract intake, execution, amendment, and renewal processes, maintaining version control and ensuring all executed agreements are properly filed and tracked in compliance with internal standards
  • • Act as the key legal partner to the business development team, providing real-time guidance on contractual risk, commercial structuring, and partner onboarding to support revenue growth and product expansion
  • • Assess and allocate commercial risk in contractual terms, including liability caps, indemnification structures, limitation of liability, warranty disclaimers, and governing law/dispute resolution provisions
  • • Develop, maintain, and improve LI.FI’s standard commercial templates, playbooks, and intake workflows by identifying negotiation patterns and feeding actionable improvements into contract language and processes
  • • Review and markup counterparty-drafted agreements, delivering clear, commercially pragmatic recommendations to the General Counsel on escalated risk positions and negotiation strategy
  • • Support regulatory-adjacent commercial work by implementing contractual requirements from regulated partners, such as vendor due diligence questionnaires, AML representations, and regulatory status confirmations
  • • Coordinate with external counsel on jurisdiction-specific legal issues related to governing law, enforceability, and local regulatory compliance during cross-border negotiations
  • • Operate with high autonomy in a remote, async-first environment, managing workload independently, proactively flagging issues, and communicating concisely and effectively in writing
  • • Engage with counterparties of varying sophistication—from early-stage crypto projects to enterprise financial institutions with complex legal teams—adapting negotiation style and documentation approach accordingly
  • • Contribute to legal operations improvements by identifying inefficiencies in contract management and proposing scalable solutions, including tooling or process enhancements

🎯 Requirements

  • • Qualified lawyer admitted to a recognised bar (US, UK, or EU member state)
  • • 3+ years post-qualification experience with at least 2 years in-house negotiating commercial contracts
  • • Demonstrable experience negotiating enterprise SaaS, API, or platform integration agreements
