- • As a Commercial Counsel at Horizon3.ai, you will support high-volume commercial transactions across Sales, Channel/Alliances, and Customer Success teams, enabling deal velocity while managing risk in a fast-growing remote cybersecurity company.
- • You will draft, review, and negotiate NDAs, SaaS subscription agreements (MSAs), order forms, DPAs, and evaluation/trial agreements, while responding to customer contract requests and redlines.
- • You will partner with Sales, RevOps, and internal teams to unblock contract issues, provide practical guidance to non-legal stakeholders, and escalate complex matters appropriately.
- • You will contribute to improving contract templates, clause libraries, and workflows, helping build consistency and scalability as the company grows.
- • You will collaborate with Security, Privacy, and Product teams to ensure contract terms align with business objectives and provide enablement through clear guidance on standard terms.
🎯 Requirements
- • J.D. from an accredited law school and admission to practice in at least one U.S. jurisdiction
- • 3–5+ years of experience in law firm and/or in-house roles with a focus on commercial technology transactions
- • Direct experience negotiating SaaS or cloud-based software agreements, including customer and partner/channel deals
- • Experience with data protection/security issues in contracts, such as DPAs, security exhibits, incident response, and audit rights
- • Excellent contract drafting, negotiation, and communication skills, with ability to provide clear, actionable advice to non-lawyers
- • Demonstrated ability to manage multiple priorities in a fast-paced, high-growth environment
