- • As a Commercial Counsel at Ashby, you will play a pivotal role in scaling the company’s legal function during a period of rapid growth following a successful Series D funding round, directly enabling revenue generation by partnering with go-to-market teams to negotiate and execute commercial contracts efficiently and pragmatically.
- • You will review, draft, and negotiate customer-facing agreements including NDAs, MSAs, Order Forms, and DPAs, ensuring speed, commercial viability, and scalability while maintaining strong risk management practices.
- • Day-to-day responsibilities include serving as a trusted, responsive legal partner to Sales and other internal stakeholders, proactively supporting deal closure and building relationships that foster collaboration rather than friction.
- • You will develop and implement contract playbooks, fallback positions, and enablement materials to standardize and accelerate commercial contracting processes across the organization.
- • Close collaboration with security, IT, and product teams will be required to accurately and promptly respond to customer and prospect questionnaires, while creating scalable solutions for ongoing compliance and security inquiries.
- • You will own vendor agreement negotiations in partnership with business owners and cross-functional stakeholders, ensuring timely execution and adherence to SLAs.
- • A key aspect of the role involves driving legal operations innovation by evaluating, adopting, and implementing new technologies such as CLM, CPQ, and AI-powered tools to improve contract workflows and enable GTM efficiency.
- • Beyond commercial contracts, you will contribute to broader legal initiatives including employment matters, IP, corporate governance, privacy, AI governance, and internal/external guidance materials as needed.
- • You will work with external counsel when required, flag and escalate issues appropriately, and know when to involve Senior Legal Counsel Kelly Fish for guidance.
- • As an early legal hire, you will have meaningful ownership in shaping Ashby’s legal function from the ground up, with opportunities to influence strategy, processes, and culture in a high-growth, innovative environment.
- • You will gain deep exposure to SaaS business models, global expansion efforts, product-led growth initiatives, and cutting-edge legal tech adoption, positioning you for significant professional growth and impact.
🎯 Requirements
- • JD from an accredited law school and active license to practice law in the US (or equivalent qualification in relevant jurisdiction).
- • 4-6 years of legal experience, ideally combining law firm training with in-house experience at a fast-growing company.
- • Strong experience in commercial contract negotiation (both customer-side and vendor-side) with a proven ability to contribute directly to revenue growth.
- • Excellent interpersonal skills and a genuine enjoyment of working with sales teams to build trusted internal and external relationships.
- • Demonstrated ability to balance legal risk with business objectives through sound judgment and pragmatic decision-making.
- • Clear, concise communication style capable of explaining complex legal concepts in plain language and developing enablement materials for GTM teams.
- • Highly organized and adept at managing multiple deals, priorities, and shifting demands in a dynamic environment.
