- • Serve as the primary legal counsel for EMEA commercial activities, leading negotiation and drafting of high-volume enterprise-level SaaS licensing agreements, partnership contracts, and NDAs across EU and MENA markets.
- • Own full lifecycle management of commercial contracts, including redlining, risk assessment, and finalizing agreements that balance legal compliance with commercial objectives and speed-to-close.
- • Act as the central legal liaison between EMEA markets and the US-based technical and operational team, translating complex local regulatory requirements into actionable guidance for non-legal stakeholders.
- • Ensure compliance with GDPR, the EU AI Act, DORA, EU Data Act, and other relevant regional regulations across all commercial activities and product deployments.
- • Manage and oversee Data Processing Agreements (DPAs) and privacy compliance initiatives tied to AI SaaS offerings in EMEA and MENA regions.
- • Drive regional market expansion by providing legal and regulatory strategy for entering new EMEA jurisdictions, including advising on local licensing, data localization, and operational compliance.
- • Engage directly with enterprise-level legal counsel from partner and customer organizations to negotiate and close deals efficiently while maintaining Cognition’s risk appetite and commercial priorities.
- • Advise cross-functionally on legal implications of product launches, marketing initiatives, and sales programs in EMEA, ensuring alignment with evolving regulatory frameworks.
- • Proactively identify emerging legal risks tied to AI technology deployment in Europe and the Middle East, and recommend scalable compliance frameworks for high-growth environments.
- • Collaborate with finance, sales, product, and engineering teams to embed legal requirements into commercial workflows without impeding innovation or speed.
- • Maintain up-to-date knowledge of regulatory developments across EMEA, particularly those impacting AI, data sovereignty, and digital services, and communicate changes internally.
- • Establish standardized contract templates and negotiation playbooks tailored to EMEA market norms and Cognition’s business model.
- • Provide clear, pragmatic legal advice under pressure, prioritizing business enablement while ensuring adherence to applicable laws and company policies.
- • Represent the company in external legal and regulatory discussions relevant to commercial operations in the region.
- • Contribute to the development of compliance infrastructure as Cognition scales its EMEA footprint, including vendor due diligence, third-party risk assessment, and regulatory reporting readiness.
🎯 Requirements
- • 7+ years of experience drafting and negotiating complex commercial contracts, including international transnational agreements
- • Proven experience working as legal counsel for a US-based tech company operating in Europe, Middle East, and/or Asia/South Asia
- • Deep expertise in GDPR, the EU AI Act, DORA, and other key EMEA regulatory frameworks
- • Demonstrated experience managing high-volume contract workflows in fast-paced, high-growth technology companies
- • Transnational legal experience with direct involvement in launching or expanding operations in EU or MENA markets
- • Strong ability to translate complex legal concepts into practical, business-friendly guidance for non-legal teams
