📋 Description
- • Draft, review, and negotiate NDAs, Master Service Agreements, Statements of Work, Marketing and Sponsorship Agreements, Staffing Agreements, and other procurement agreements to support Harvey’s commercial operations
- • Develop and maintain standardized contract templates and legal playbooks to streamline agreement execution across cross-functional teams
- • Refine approval workflows and intake processes for contracts, ensuring efficiency and consistency in legal operations
- • Leverage Harvey’s AI platform to enhance and scale the legal team’s contracting workflows and operational efficiency
- • Identify and flag non-standard contract terms that pose risks to product, privacy, or regulatory compliance, and escalate these issues to legal counsel for resolution
- • Negotiate and finalize Data Processing Agreements to ensure adherence to global data protection standards
- • Ensure all commercial contracts comply with internal legal policies and corporate governance standards
- • Provide training and develop educational resources for go-to-market, procurement, deal operations, and marketing teams to improve contract understanding and self-service capabilities
- • Collaborate directly with procurement, sales, and engineering teams to align contract terms with business objectives and technical requirements
- • Maintain and optimize the company’s contracts management system, ensuring accurate recordkeeping, version control, and audit readiness
- • Act as a primary point of contact for internal stakeholders seeking contract guidance, balancing speed, accuracy, and risk mitigation
- • Proactively identify process bottlenecks in contracting workflows and propose scalable solutions to support rapid company growth
- • Work in a hybrid model requiring three days per week in one of Harvey’s office locations: San Francisco, CA; New York, NY; Chicago, IL; or Dallas, TX
- • Contribute to broader legal initiatives beyond core contracting duties, including emerging legal needs tied to AI product development and customer deployments
- • Operate with autonomy in a fast-paced startup environment, anticipating needs, resolving ambiguities, and driving outcomes with limited supervision
- • Maintain a service-oriented mindset, responding promptly to internal requests while upholding rigorous legal standards
🎯 Requirements
- • Bachelors degree
- • 4+ years of in-house legal experience, ideally supporting a SaaS or tech company
- • Hands-on experience drafting and negotiating NDAs, Master Service Agreements, SaaS agreements, and procurement contracts
- • Demonstrated experience with contracts management systems such as Ironclad, Zip, or DocuSign
- • Exceptional project management skills with a track record of managing high-volume contract workflows
- • Ability to work independently, think creatively, and thrive in a fast-paced, ambiguous startup environment
