- • Own the commercial contract function by negotiating and managing vendor agreements, technology and data integrations, marketing partnerships, and bank relationships, while building and maintaining standardized templates and legal playbooks to streamline operations.
- • Utilize AI-assisted legal tools to enhance efficiency in contract review, drafting, and management, reducing manual workload and improving accuracy across high-volume agreements.
- • Drive corporate governance by managing board and committee materials, consents, minutes, and corporate records across the company and its subsidiaries, ensuring compliance and readiness for IPO.
- • Support cap table management and equity administration, including option grants and the potential transition from options to RSUs, ensuring accurate tracking and alignment with corporate objectives.
- • Lead legal support for capital markets transactions, including equity and debt financings, structured warehouse facilities, and the development of Tilt’s asset-backed securities (ABS) platform, with ongoing responsibility for covenant compliance and lender diligence.
- • Participate in M&A activity by drafting and negotiating terms for smaller domestic and cross-border deals, providing diligence support for larger transactions, and assisting with post-closing integration efforts.
- • Partner closely with People/HR teams on employment matters, offering advice to mitigate legal exposure and supporting equity compensation administration, including compliance with labor and employment regulations.
- • Develop and implement the international legal playbook to enable Tilt’s global expansion, creating cross-border frameworks that address jurisdictional differences in commercial, employment, and regulatory obligations.
- • Serve as a trusted legal partner to business leaders across commercial, finance, operations, and product functions, translating complex legal issues into clear, actionable guidance without legal jargon.
- • Operate with autonomy and sound judgment across multiple, evolving legal workstreams, prioritizing effectively and making timely decisions without waiting for directives.
- • Maintain sharp written and verbal communication skills to convey legal risks and requirements to non-lawyers, ensuring alignment and informed decision-making across the organization.
- • Demonstrate intellectual curiosity and adaptability, rapidly acquiring knowledge in new legal domains as Tilt scales and enters new markets or product lines.
- • Contribute to building a culture of legal excellence that prioritizes fairness, efficiency, and impact, aligning legal strategy with Tilt’s mission to expand access to fair credit.
🎯 Requirements
- • J.D. and active bar admission in at least one U.S. state
- • 4–6 years of meaningful experience in at least two or three of the following: commercial contracts, corporate governance, capital markets, M&A, or employment law
- • Demonstrated ability to own legal workstreams independently and make sound, timely judgment calls without supervision
- • Proven track record of collaborating effectively across non-legal functions, translating legal complexity into clear business guidance
- • Sharp written and verbal communication skills with ability to be precise yet accessible to non-lawyers
- • Genuine interest in fintech or consumer finance, with a desire to grow expertise in the space
