- • LIV Golf is seeking a highly skilled and motivated Corporate Governance & Legal Advisory Counsel to join our dynamic legal team. This pivotal role will be instrumental in shaping and safeguarding the corporate integrity of LIV Golf and its 13 affiliated teams, ensuring robust governance frameworks and comprehensive legal compliance across all operations.
- • As a key member of the legal department, you will provide strategic legal counsel and hands-on support for a wide array of corporate legal matters. Your expertise will be crucial in navigating the complexities of corporate law, governance best practices, and regulatory landscapes, particularly within the rapidly evolving global sports and entertainment industry.
- • A significant aspect of this role involves supporting the Corporate Secretary function. You will assist in the meticulous preparation and review of essential Board of Directors and committee meeting materials, ensuring accuracy, completeness, and adherence to all governance protocols. This includes drafting and finalizing meeting minutes, resolutions, and other critical corporate documentation, maintaining a high standard of legal and governance compliance.
- • You will offer broad corporate legal support, acting as a trusted advisor to various internal departments. This includes collaborating closely with teams such as governance strategy, subsidiary entity management, treasury, financial reporting, and internal audit. Your guidance will help ensure that all corporate activities align with legal requirements and internal policies.
- • A core responsibility will be to provide strategic and legal guidance on corporate law and governance matters. You will proactively advise on compliance with all applicable laws, regulations, and internal policies, helping to mitigate risks and foster a culture of ethical conduct and strong governance throughout the organization.
- • You will be tasked with managing and maintaining all corporate documentation with precision and diligence. This involves drafting, reviewing, and approving resolutions, meeting minutes, and other essential corporate records, ensuring they meet the highest legal and governance standards.
- • This role will also involve driving key governance projects from inception to completion. You will take ownership of strategic initiatives, meticulously tracking progress, identifying potential roadblocks, and ensuring alignment with overarching business objectives and the company’s strategic vision.
- • You will provide essential support to our global teams, assisting them in executing corporate governance matters across various international jurisdictions. This requires an understanding of diverse legal and regulatory environments and the ability to adapt strategies accordingly.
- • Staying ahead of the curve is paramount. You will continuously monitor new legislative proposals, regulatory changes, and other legal and compliance developments that could impact LIV Golf's global corporate governance framework, providing timely analysis and recommendations.
- • To ensure operational efficiency and accountability, you will meticulously track action items arising from meetings and projects, following up diligently with internal stakeholders to guarantee timely completion and proper documentation.
- • Beyond corporate governance, you will play a crucial role in the oversight and enhancement of the company’s compliance program. This encompasses the design, implementation, and ongoing assessment of the program's effectiveness, including policies, procedures, and training initiatives.
- • You will conduct regular and thorough risk assessments to identify potential legal and compliance risks across the organization. Based on these assessments, you will develop and implement new policies and procedures to proactively mitigate these risks and adapt to the dynamic industry landscape.
- • A key function is to monitor and analyze regulatory developments and trends globally. You will advise on their potential impact and applicability to LIV Golf, ensuring the compliance program remains current and effective.
- • You will serve as the primary point of contact for all compliance-related inquiries, issues, and challenges. This involves working collaboratively with employees at all levels to foster a culture of compliance and prevent violations.
- • You will oversee the day-to-day operations and the long-term strategic direction of the compliance program, ensuring unwavering adherence to all legal and regulatory requirements.
- • Meticulous recordkeeping and documentation of all compliance processes are essential. You will ensure the firm is well-prepared for any internal or external examinations or audits.
- • You will be responsible for drafting, implementing, and continuously enhancing compliance policies, procedures, and internal controls to strengthen the company’s compliance posture.
- • A critical aspect of this role is partnering with cross-functional teams to seamlessly integrate compliance considerations into the company’s overall strategy, business development initiatives, and operational processes.
- • You will design and deliver comprehensive training programs on trade compliance, corporate governance, and other relevant regulatory issues to educate employees and promote a strong compliance culture.
- • Finally, you will design, implement, and manage robust recordkeeping systems and prepare scheduled and ad hoc reports and information requests to meet internal and external requirements.
🎯 Requirements
- • Juris Doctor (JD) degree from an accredited law school.
- • Minimum of 5 years of experience practicing corporate law, with a strong emphasis on governance, compliance, and policy matters. Experience within the sports or entertainment industry is highly desirable.
- • Proven ability to draft complex legal documents with clarity and precision, effectively communicating intricate legal concepts to diverse audiences.
- • High proficiency in Microsoft PowerPoint, with a demonstrated ability to create compelling and impactful presentations for both internal and external stakeholders.
- • Demonstrated ability to thrive both independently and collaboratively in a fast-paced, dynamic, and demanding work environment.
- • Excellent interpersonal and communication skills, with a proven track record of building strong, productive relationships across various teams and with senior leadership.
- • Exceptional attention to detail, superior organizational skills, and the proven capacity to manage multiple competing priorities simultaneously without compromising quality.
- • Experience with litigation and employment law matters is considered a significant advantage.
