📋 Description

• The Corporate Paralegal role at Fivetran is critical to supporting the company’s rapid growth by ensuring robust corporate governance, transactional support, and scalable legal operations across subsidiaries and global entities. This position directly enables Fivetran’s mission to make data access as simple and reliable as electricity by maintaining the legal and operational foundation that allows the business to scale securely and compliantly.
• Day-to-day responsibilities include supporting routine and complex corporate governance across all subsidiaries, such as maintaining entity records, managing board materials and minute books, and assisting with regulatory filings; providing project management and support for complex corporate transactions including M&A, financing rounds, and strategic transactions through due diligence coordination, document management, and closing preparations; collaborating with cross-functional teams (HR, Tax, Finance, Treasury, Accounting, and Legal) to anticipate, implement, and address complex projects or transactions, including subsidiary formation and dissolution; partnering with outside counsel as needed on various corporate matters; supporting the corporate insurance portfolio; supporting execution logistics, including signature collection, notarization, and apostille; collaborating with internal teams to manage due diligence and KYC requests from third-party service providers and customers; assisting the Senior Equity Administrator in supporting the equity program and managing equity management platforms (Carta and Equity Edge); assisting with miscellaneous administrative tasks, including processing international mail, invoice processing, and procurement via Coupa; and working to identify, build, and maintain scalable corporate operations processes with emphasis on documentation and audit trails.
• The Legal team at Fivetran is a small, highly collaborative unit supporting a rapidly growing, globally distributed organization valued at over $5.6 billion. • In this role, the Corporate Paralegal will develop deep expertise in scaling corporate operations within a high-growth technology environment, gain hands-on experience with complex M&A and financing transactions, and become proficient in managing global entity compliance, equity administration, and legal technology stacks. The individual will have the opportunity to influence and improve corporate processes, build trusted relationships across functions, and contribute directly to Fivetran’s ability to operate as a secure, compliant, and agile global enterprise.

🎯 Requirements

• Undergraduate degree from a 4-year accredited institution.
• 10+ years of experience as a corporate paralegal and/or legal operations professional at a technology company or law firm.
• Proven track record of scaling corporate operations processes such as signing authority frameworks, approval workflows, and record management systems.
• Substantial experience supporting IPO, M&A transactions, and financing rounds, with demonstrated end-to-end transaction management.
• Strong working knowledge of corporate governance, subsidiary management, SEC compliance, entity compliance (U.S. and international), KYC/UBO, regulatory filings, corporate record keeping, and secretary’s office functions.
• Exceptional drafting, organizational, and communication skills.
• Experience managing multiple complex projects simultaneously.
