- • Serve as the Director, Corporate Counsel for Shield AI, providing comprehensive legal guidance across all corporate functions including corporate governance, securities compliance, and contractual matters.
- • Lead the drafting, review, and negotiation of complex commercial agreements including vendor contracts, partnership agreements, customer licenses, and distribution arrangements.
- • Advise executive leadership and cross-functional teams on corporate structuring, entity formation, and regulatory compliance related to Shield AI’s global operations in the U.S., Europe, the Middle East, and the Asia-Pacific.
- • Manage the company’s securities law obligations, including filings with the SEC, investor disclosures, and compliance with federal and state corporate governance standards.
- • Oversee intellectual property strategy and licensing agreements related to proprietary technologies including V-BAT, X-BAT, Hivemind Enterprise, and Hivemind Vision product lines.
- • Collaborate with external counsel to manage litigation, disputes, and regulatory inquiries affecting the company’s technology and international operations.
- • Develop and implement legal policies and procedures to mitigate risk across global business activities while aligning with Shield AI’s mission to protect service members and civilians.
- • Provide legal oversight for mergers, acquisitions, and corporate transactions, including due diligence, structuring, and closing activities.
- • Act as a trusted advisor to the CEO, CFO, and other C-suite executives on legal implications of strategic business decisions and corporate initiatives.
- • Build and lead a scalable legal function, potentially managing internal legal staff and external legal vendors to support the company’s rapid growth.
- • Ensure compliance with export control regulations, international trade laws, and defense industry requirements given the company’s focus on defense and national security technologies.
- • Maintain up-to-date knowledge of evolving legal frameworks impacting autonomous systems, AI deployment, and defense contracting in multiple jurisdictions.
- • Represent Shield AI in legal discussions with government agencies, defense contractors, and international partners.
- • Coordinate with internal teams including engineering, product, sales, and operations to embed legal best practices into product development and commercialization workflows.
- • Prepare and deliver legal training to non-legal teams on contractual obligations, data privacy, compliance, and risk management.
- • Maintain accurate legal records and documentation for all corporate agreements, filings, and compliance activities.
🎯 Requirements
- • Juris Doctor (JD) degree and active membership in good standing with a U.S. state bar
- • Minimum of 10 years of legal experience, with at least 5 years in a corporate legal role at a high-growth technology or defense contractor company
- • Proven experience advising on securities law, corporate governance, and complex commercial contracting
- • Demonstrated expertise in export control regulations (ITAR/EAR) and defense industry compliance
- • Experience managing legal operations for a global company with international offices and operations
- • Strong track record of leading and scaling a legal function within a venture-backed startup or scale-up environment
