  • • Lead legal strategy and execution for Ciena’s global M&A transactions, from initial non-disclosure agreements and term sheets through due diligence, definitive document negotiation, closing, and post-close integration.
  • • Partner directly with Ciena’s Chief Strategy Office and Legal leadership to structure, coordinate, and drive strategic acquisition transactions with a buy-side focus.
  • • Manage end-to-end legal due diligence processes, identifying risks and translating complex findings into actionable recommendations for cross-functional stakeholders.
  • • Serve as the primary legal connector across departments and levels, building trusted relationships with internal teams and external counsel to ensure seamless deal execution.
  • • Develop and implement improved deal processes and tools, including leveraging AI technologies to enhance efficiency, accuracy, and speed in transaction workflows.
  • • Support Ciena’s corporate venture capital program by managing outside counsel relationships and designing legal frameworks for investments and ongoing portfolio oversight.
  • • Negotiate and draft strategic commercial and technology partnerships, including licensing, development, and acquisition agreements involving emerging technologies.
  • • Assist the broader Legal Department and Chief Strategy Officer on high-priority corporate and transactional matters beyond M&A and investments.
  • • Ensure compliance with legal and regulatory requirements across all transaction types, maintaining rigorous attention to detail and business judgment.
  • • Drive continuous improvement in transactional processes by identifying bottlenecks, standardizing documentation, and implementing scalable legal solutions.
  • • Communicate effectively with executives and non-legal stakeholders to align legal strategy with business objectives and timelines.
  • • Maintain active bar membership in good standing in your state of residency and qualify to practice as in-house counsel in the U.S.
  • • Adapt proactively to evolving priorities in a fast-paced, dynamic legal environment while independently managing multiple high-stakes transactions simultaneously.
  • • Champion a culture of collaboration, ownership, and innovation within the Legal Department by supporting diverse team needs and contributing to departmental growth.

🎯 Requirements

  • • 5+ years of legal experience in M&A with a focus on strategic acquisition transactions
  • • Experience independently negotiating and managing complex strategic transactions
  • • Active bar membership in good standing in your state of residency with eligibility to practice as in-house counsel
  • • Demonstrated ability to think creatively, function independently, and work proactively in a fast-paced environment
  • • Strong process orientation with experience using AI and technology to improve transaction workflows
  • • Excellent legal and business judgment, attention to detail, and proven ability to solve complex problems
