• • Architect the financial future of a high-growth AI-crypto platform as our Finance & Controls Board Director. In this high-impact, time-boxed advisory role you will design and stand-up institutional-grade control environments that will carry Token Metrics from private start-up to public-market ready company. Your fingerprints will be on every policy, report, and dashboard that investors and regulators scrutinize.
• • Serve as the inaugural Chair of the Audit & Risk Committee, translating complex token economics, exchange mechanics, and multi-asset treasury flows into board-level visibility and confidence. You will own the committee charter, meeting cadence, risk register, and escalation pathways—turning ad-hoc crypto processes into repeatable, auditable, and scalable systems.
• • Build and socialize a 10-day monthly close cycle that delivers a day-12 board pack complete with KPI bridges, variance commentary, and forward-looking liquidity forecasts. Your PBC (Provided by Client) list will become the gold standard for internal teams and external auditors alike.
• • Design and implement a dual-currency treasury policy (fiat + digital assets) that sets counterparty limits, collateral haircuts, withdrawal thresholds, and real-time monitoring alerts. Within 60 days the policy must be live, stress-tested through incident and withdrawal drills, and supported by a daily positions dashboard accessible to the Board.
• • Map and document Digital Asset & Crypto Process (DCP) ICFR controls to SOX-style standards, ensuring every token inflow, staking reward, exchange fee, and vendor payment is tagged, traced, and reconciled. Your control matrix will be audit-ready and capable of supporting a Big-4 attestation.
• • Create a data-room stub populated with historical financials, token grant agreements, exchange statements, and treasury wallet addresses. The stub must be investor-grade within the 90-day trial window, enabling seamless due diligence for future equity or token raises.
• • Provide strategic oversight without slipping into operational execution: you will review—not run—daily accounting, you will advise—not approve—wallet transactions, and you will govern—not generate—ledger entries. This distinction is critical to maintaining independence and board-level objectivity.
• • Communicate with precision. Every memo, slide, and risk report must be board-grade: concise, visually clean, and narrative-driven. You will translate technical DeFi events (liquidations, bridge hacks, staking slashing) into plain-English risk summaries that non-crypto directors can act upon.
• • Champion a culture of documentation hygiene across finance, engineering, and product teams. From audit trails to incident logs, your insistence on clean records will reduce regulatory friction and accelerate future financing rounds.
• • After the 60-90 day advisory phase, transition into a permanent Independent Director role (2-4 hours per month plus quarterly deep-dives) where you continue to chair the Audit & Risk Committee, mentor internal finance leaders, and serve as the external face of Token Metrics’ governance to investors and regulators.
