Do you excel at building robust financial frameworks and securing capital for growth? 10Xteam Inc. is seeking a Fractional Chief Financial Officer (CFO) to spearhead the financial architecture of a burgeoning hotel acquisition and capital structuring initiative.
  • • This is a unique opportunity to transition a profitable, single-hotel operation in Amsterdam into a scalable hospitality investment platform. The vision is ambitious: to acquire multiple hotels, each valued at approximately €1.5 million, over the next five years. This expansion will be fueled by a combination of structured bank financing and strategic private equity partnerships. What's currently missing is not the ambition or the operational capability, but a professional, repeatable, and scalable model for acquisition and funding. This role is not about routine financial administration or ad-hoc modeling; it's about architecting and implementing a sophisticated, scalable real estate capital machine.
  • • Your mission as the Fractional CFO will be to design, develop, and execute a repeatable acquisition and financing framework that underpins structured and sustainable growth. This involves a comprehensive approach to financial strategy and execution:
  • • **Develop a Scalable Acquisition Model:** Create a robust and repeatable model for acquiring hotels within the €1.5 million ticket size range. This model should encompass all financial aspects, from initial due diligence to closing, ensuring efficiency and consistency across multiple transactions.
  • • **Build Institutional-Grade Financial Models:** Construct a comprehensive, bank-ready, and investor-ready financial model. This model must be sophisticated enough to satisfy the rigorous demands of senior lenders and sophisticated private equity partners, clearly articulating the investment thesis, projected returns, and risk mitigation strategies.
  • • **Design a Standardized Capital Stack Playbook:** Develop a clear and standardized playbook for structuring the capital stack. This will include defining the optimal mix of senior debt, equity, and, where relevant, mezzanine financing, ensuring flexibility and attractiveness to various capital providers.
  • • **Structure Holding vs. SPV Models:** Define and implement appropriate legal and financial structures for each acquisition, including the optimal setup for holding companies versus Special Purpose Vehicles (SPVs), considering tax implications, liability, and operational efficiency.
  • • **Define Equity Participation and Governance:** Establish clear frameworks for equity participation, outlining the terms, conditions, and rights for various equity investors. Develop corresponding governance structures to ensure transparent and effective decision-making.
  • • **Lead Financing Negotiations and Investor Structuring:** Take the lead in negotiating terms with banks for senior debt financing and engage in structuring conversations with private equity partners. Your expertise will be crucial in securing favorable terms and building strong relationships.
  • • **Create Risk Allocation and Return Waterfall Structures:** Design clear and equitable structures for risk allocation among investors and lenders. Develop a transparent return waterfall mechanism that accurately reflects the agreed-upon distribution of profits based on investment tiers and performance metrics.
  • • **Develop Advanced Sensitivity Analysis:** Build comprehensive sensitivity analysis models to assess the impact of various market factors, such as occupancy rates, Average Daily Rate (ADR), and financing costs, on the investment's financial performance. This will provide a clear understanding of potential risks and upsides.
  • • **Define Standardized Return Frameworks:** Establish a clear and consistent framework for measuring investment performance, including Internal Rate of Return (IRR) and cash-on-cash return metrics. This ensures comparability across different acquisitions and provides a benchmark for success.
  • • **Create an Acquisition Playbook:** Document a comprehensive acquisition playbook that includes a detailed checklist of acquisition criteria, a defined funnel for deal flow management, a decision matrix for evaluating opportunities, and clear trigger points for initiating financing processes.
  • • **Build a Compelling Funding Narrative:** Develop a powerful and persuasive funding narrative that highlights risk mitigation strategies, the predictability of the business model, the potential for a strong track record, and the attractive return profile for investors and lenders.
