� Description

• • Architect and lead Token Metrics Ventures’ public-market entry strategy, designing multi-jurisdictional pathways (TSX-V, Cboe Canada, Nasdaq, OTC, and other global venues) that align with our AI-driven crypto analytics platform and long-term token-economics vision.
• • Own end-to-end execution of reverse takeovers (RTOs), SPAC combinations, direct listings, and follow-on offerings, including valuation models, structuring term sheets, managing data rooms, drafting prospectus-level disclosure, and coordinating underwriters, counsel, auditors, and listing agencies.
• • Source and negotiate Private Investment in Public Equity (PIPE) transactions, bridging crypto-native cap tables with institutional fiat capital while preserving token-holder value and ensuring regulatory compliance across securities and commodities frameworks.
• • Build and maintain a world-class institutional ecosystem—sponsors, authorized participants (APs), market makers (MMs), custodians, trustees, index providers, and ETF/ETP issuers—to accelerate launch of crypto-linked exchange-traded products that reference Token Metrics indices.
• • Serve as primary liaison between internal executive leadership (CFO, GC, CPO) and external capital-markets stakeholders, translating complex crypto metrics into investor-ready narratives that satisfy both securities regulators and digital-asset natives.
• • Develop board-level materials (monthly packages, audit-committee decks, ESG summaries, and risk matrices) that meet Canadian NI 51-102, U.S. Reg S-K, and emerging MiCA standards, ensuring continuous disclosure hygiene and governance best-practice.
• • Create and maintain a rolling 24-month capital-formation roadmap that balances dilution minimization with growth financing needs, incorporating scenario analysis for token buy-backs, staking yields, and treasury-management strategies.
• • Lead due-diligence sessions with rating agencies, index committees, and institutional investors, articulating Token Metrics’ AI pipeline, data moat, and SaaS recurring revenue to support premium valuation multiples relative to crypto-sector peers.
• • Monitor real-time market signals (ETF flows, options skew, borrow rates, on-chain TVL) to recommend optimal windows for primary and secondary offerings, convertible structures, or at-the-market (ATM) programs.
• • Establish post-listing investor-relations playbook: earnings cadence, KPI dashboards, token-burn policy, and webcast scripts that satisfy both equity analysts and crypto Twitter, driving sustained liquidity and tight bid-ask spreads.
• • Mentor junior finance and strategy staff on public-company disciplines (Sarbanes-Oxley, Reg FD, insider-trading windows, 10b5-1 plans) while fostering a culture that respects open-source crypto ethos and decentralized community values.
• • Represent Token Metrics at capital-markets conferences, ETF roundtables, and regulator round-ups, converting thought-leadership appearances into tangible deal flow and strategic partnerships that compound enterprise value.
