- • Lead the negotiation and drafting of enterprise software licensing agreements, including SaaS and on-premise commercial licenses, data processing agreements (GDPR, CCPA), professional services contracts, channel partner agreements, non-disclosure agreements, and strategic commercial partnerships.
- • Manage end-to-end negotiation of a high-volume pipeline of commercial contracts including supplier agreements for hardware purchases, real estate leases, insurance, contractors, and data processing addenda (DPAs).
- • Collaborate closely with global Sales, Procurement, Deal Desk, Finance, and Security teams to streamline contract processes, accelerate deal closure, and align legal terms with business objectives.
- • Drive process improvements in commercial contracting by implementing AI-powered tools for redlining, legal research, and contract automation to reduce cycle times and enhance efficiency.
- • Review, amend, and execute modifications to existing commercial agreements, ensuring ongoing compliance and alignment with evolving business needs and regulatory requirements.
- • Support inbound procurement-related contracts by drafting, negotiating, and finalizing supplier agreements and amendments for software, SaaS, and technology services.
- • Maintain and enhance standardized contract templates, playbooks, and workflows in partnership with the broader Legal team to ensure consistency, scalability, and risk mitigation across global transactions.
- • Identify, assess, and resolve complex legal and regulatory issues arising in commercial transactions, with a focus on data localization, international compliance, and emerging technology risks.
- • Operate autonomously on moderate to highly complex legal matters, providing practical, business-oriented legal advice that balances risk and opportunity in fast-paced, deadline-driven environments.
- • Serve as a trusted legal advisor to cross-functional business units, translating legal requirements into actionable guidance that supports revenue growth and operational efficiency.
- • Contribute to policy development and internal education initiatives around commercial contracting standards, data privacy obligations, and vendor management best practices.
- • Proactively anticipate legal risks in commercial deals and propose innovative, scalable solutions that reduce exposure while enabling business innovation.
- • Maintain accurate records of negotiated agreements and contractual obligations, ensuring compliance with internal governance and audit requirements.
- • Engage with global counterparties across multiple jurisdictions, applying expertise in international commercial law and data protection regulations to structure enforceable agreements.
🎯 Requirements
- • Legal qualification to practice in England & Wales (solicitor) or equivalent international qualification with the right to work in the UK
- • 6+ years of progressive experience working specifically on software licensing and SaaS agreements (law firm and/or in-house)
- • Demonstrated experience with AI-based tools for enhanced redlining and legal research
- • Proven ability to work independently with minimal guidance on moderate to highly complex problems while contributing successfully to cross-functional teams
- • Deep knowledge in commercial contracting disciplines, with ability to lead projects and advise colleagues
- • Excellent organizational skills, ability to manage high-volume deal flow, meet strict deadlines, and follow through on details
