- • Lead negotiation and drafting of enterprise software licensing agreements, including SaaS and on-premises contracts, ensuring alignment with business objectives and risk mitigation strategies.
- • Negotiate and manage data processing agreements (DPAs) compliant with GDPR, CCPA, and other global data privacy regulations for customers and suppliers.
- • Drive the closure of complex commercial transactions by reviewing, advising on, and negotiating agreements related to sales, procurement, professional services, channel partnerships, non-disclosure agreements, and strategic commercial alliances.
- • Partner cross-functionally with Sales, Procurement, Deal Desk, Finance, and Security teams to accelerate deal cycles, optimize contract terms, and resolve legal and operational roadblocks.
- • Draft, review, and negotiate amendments to existing commercial agreements, ensuring consistency with evolving business needs and regulatory requirements.
- • Support inbound procurement contracts for software, SaaS, hardware, real estate leases, insurance, and contractor services, ensuring compliance and favorable terms for Redis.
- • Lead process improvements in commercial contracting through the implementation of AI-driven tools for redlining, contract analysis, and legal research to reduce cycle times and increase efficiency.
- • Develop, maintain, and enhance standardized contract templates and commercial contracting playbooks in collaboration with the broader Legal team.
- • Identify, assess, and resolve legal and regulatory issues arising from commercial agreements, providing practical, business-oriented legal guidance to non-legal stakeholders.
- • Manage a high-volume pipeline of concurrent deals with tight deadlines, demonstrating exceptional organizational skills and ability to prioritize effectively.
- • Operate independently with minimal supervision on moderate to highly complex commercial matters, while contributing meaningfully to cross-functional initiatives.
- • Stay current on evolving legal and industry trends in software licensing, SaaS models, international commercial law, and data localization requirements to inform strategic advice.
- • Contribute to the continuous improvement of legal operations by leveraging automation and technology to scale legal support without compromising quality or compliance.
- • Maintain strong relationships with internal business teams by providing clear, timely, and actionable legal counsel that balances risk with commercial expediency.
- • Collaborate with international legal colleagues to ensure global consistency in contract standards and compliance practices.
🎯 Requirements
- • JD from an ABA-accredited university and active admission to the State Bar where located
- • 6+ years of progressive experience negotiating software licensing and SaaS agreements (law firm and/or in-house)
- • Demonstrated experience using AI-based tools for legal redlining and research
- • Proven ability to work independently on complex commercial matters and collaborate effectively with cross-functional teams
- • Deep knowledge of commercial contracting practices with strong organizational skills and ability to manage high-volume deal flow under deadlines
- • Common sense, sound business judgment, and a collaborative, solutions-oriented approach
