- • As a Senior Counsel, Corporate, you will report directly to the Head of M&A Legal and will be instrumental in managing the company's expanding portfolio of acquisitions and investments. Your responsibilities will span the entire M&A lifecycle, from initial strategic planning and deal structuring through to post-closing integration, ensuring seamless execution and alignment with Kraken's ambitious growth objectives.
- • You will serve as lead counsel on Mergers & Acquisitions (M&A) transactions, taking ownership of the legal aspects from inception to completion. This includes advising on transaction structures, negotiating term sheets, conducting thorough due diligence, drafting and negotiating definitive agreements, and overseeing post-closing integration efforts to ensure successful assimilation of acquired entities.
- • A key aspect of this role involves partnering closely with the Head of M&A Legal and senior leadership to drive the firm's global M&A strategy. Your insights and legal expertise will be crucial in identifying opportunities, assessing risks, and executing deals that propel Kraken's market position and innovation forward.
- • Beyond M&A, you will significantly contribute to Kraken's corporate governance framework as the company prepares for potential public company status. This entails providing expert advice on board governance, the establishment and structure of board committees, the development and implementation of corporate policies, and the refinement of internal processes to meet the rigorous standards expected of a publicly traded entity.
- • You will be actively involved in preparing for and supporting board meetings and other critical governance matters. This includes the meticulous preparation of board and committee materials, ensuring accuracy and completeness, and the precise drafting of meeting minutes, maintaining a comprehensive record of corporate decisions and actions.
- • The role also requires advising on and supporting SEC reporting and disclosure processes, which is vital for public company readiness. You will contribute to the development and maintenance of corporate policies and robust compliance frameworks, ensuring Kraken operates with the highest levels of integrity and regulatory adherence.
- • Collaboration is central to success in this position. You will work cross-functionally with internal stakeholders across various departments, including Legal, Finance, Accounting, Corporate Development, Compliance, Tax, Equity, HR, and others. This collaborative approach ensures seamless alignment and efficient execution of complex projects and transactions.
- • You will be responsible for managing relationships with outside counsel, ensuring their work is strategically aligned with Kraken's objectives and that external legal resources are utilized efficiently and cost-effectively. This involves selecting appropriate counsel, setting clear expectations, and overseeing their performance.
