- • As ReflectionAI Inc. embarks on its ambitious mission to build and democratize open superintelligence, we are seeking a pioneering Senior Counsel, Technology Transactions & Partnerships to establish and lead our commercial legal function. This is a unique opportunity to be the foundational legal architect for a company at the forefront of AI innovation, working with a world-class team drawn from leading AI research institutions and companies. You will play a pivotal role in shaping Reflection's go-to-market strategies and forging critical partnerships that will define the future of open-weight models.
- • In this high-impact, high-visibility role, you will be instrumental in designing the legal and commercial frameworks that underpin our global distribution and partnership endeavors. Your responsibilities will span the full spectrum of complex commercial contracts and cutting-edge technology transactions. This includes, but is not limited to, negotiating agreements for substantial GPU compute resources, intricate data center infrastructure, strategic cloud partnerships, and large-scale enterprise and sovereign customer deals. You will also be deeply involved in structuring strategic alliances, data-licensing arrangements, and managing intellectual property matters intrinsically linked to the development and commercialization of our frontier open-weight models.
- • Success in this position hinges on your ability to foster deep, cross-functional collaboration. You will work hand-in-hand with our brilliant research, engineering, product, partnerships, go-to-market, infrastructure, and operations teams. Your legal expertise will guide the structuring of deals, the assessment of multifaceted risks, and the negotiation of agreements that empower Reflection to responsibly build, deploy, and distribute open frontier models worldwide. This requires a proactive, business-enabling approach to legal counsel.
- • Your core responsibilities will involve leading all commercial and technology transactions. This encompasses a broad range of agreements, including strategic partnerships, critical compute GPU infrastructure agreements, significant enterprise and sovereign customer contracts, joint development arrangements, innovative revenue-sharing structures, complex data-licensing agreements, and the negotiation of essential vendor relationships. You will be the primary legal driver for these mission-critical commercial activities.
- • A key aspect of your role will be to structure, draft, and meticulously negotiate complex, high-impact technology agreements. These agreements will be crucial for supporting the entire lifecycle of our AI models, from training and deployment to distribution and commercialization, across both open-weight and enterprise ecosystems. You will need to navigate novel legal territories and ensure our agreements are robust and forward-thinking.
- • You will serve as a trusted advisor and strategic partner to our research, engineering, infrastructure, product, go-to-market, and leadership teams. Your mandate will be to design legally sound and scalable deal structures that adeptly balance critical considerations such as risk mitigation, AI safety, regulatory compliance, and operational feasibility. This requires a nuanced understanding of the unique challenges and opportunities presented by cutting-edge AI development.
- • Advising on intellectual property strategy is paramount. You will provide expert counsel on IP ownership, licensing strategies, and commercialization approaches. This includes navigating the complexities of open-weight model distribution, managing rights related to derivative works, structuring co-development initiatives, and establishing clear liability-allocation frameworks to protect Reflection's innovations.
- • You will provide essential support and guidance to our data, product, and partnerships teams on a wide array of contract matters. This includes addressing issues related to data rights, data provenance, the intricacies of open-source and open-weight licensing, data privacy regulations, export-control considerations, and the legal implications of cross-border deployments of AI technologies.
- • Acting as a cross-functional thought partner, you will contribute to our enterprise readiness efforts. This involves advising on Service Level Agreements (SLAs), security requirements, commitments to responsible AI principles, and the integration of safety-aligned contractual provisions into our customer and partner agreements. Ensuring our commercial engagements reflect our commitment to ethical AI development is a core objective.
- • A significant part of your contribution will be to build and scale our internal contracting processes. This includes developing standardized templates, negotiation playbooks, efficient approval workflows, and clear risk escalation paths. The goal is to enhance the velocity and consistency of our commercial workstreams while maintaining robust internal controls and risk management.
- • You will proactively identify and mitigate a broad range of risks inherent in our contractual relationships. This includes regulatory risks, data-handling compliance, export-control challenges, and intellectual property risks. You will maintain strategic awareness of evolving AI safety frameworks (such as NIST AI RMF, ISO IEC 42001, OECD AI Principles), global AI model governance laws, U.S. export-control rules (EAR, OFAC), and domestic and international privacy regimes, ensuring Reflection remains compliant and ahead of the curve.
🎯 Requirements
- • Juris Doctor (J.D.) degree and an active bar membership in good standing.
- • 8-14 years of relevant legal experience, with a significant portion gained in the technology transactions practice of a top-tier law firm or in-house at a leading technology, cloud, or AI company.
- • Deep, demonstrable experience negotiating complex, bespoke, and often first-of-their-kind technology transactions, strategic partnerships, and IP-intensive agreements.
- • Proven ability to collaborate effectively and directly with engineering, research, infrastructure, and product teams on fast-paced, technically complex commercial initiatives.
- • Strong working knowledge of intellectual property licensing, data licensing concepts, open-source and open-weight frameworks, data privacy regulations, and export-control considerations specifically relevant to AI systems.
