- • Vice President - RWI role at Howden Private Capital, leading or supporting end-to-end execution of Representations & Warranties Insurance (RWI) placements across complex M&A transactions, combining technical underwriting, legal analysis, and client advisory to drive efficient deal execution and capital protection.
- • Day-to-day responsibilities include coordinating underwriting processes with insurers, reviewing transaction documentation (SPAs/APAs), drafting and negotiating RWI policy mark-ups, advising clients on transaction-related risks, serving as day-to-day point of contact for clients and law firms, and collaborating with Tax, Structured Solutions, and Credit teams to deliver integrated risk solutions.
- • Howden is a global insurance group with employee ownership at its heart, operating in 56 countries with 24,000 employees; Howden Private Capital is its transactional risk arm advising private equity sponsors, corporates, and law firms on RWI, Tax Liability Insurance, Contingent & Structured Risk, and Credit Insurance across North America and globally.
- • The role offers opportunity to develop deep expertise in transactional risk insurance, lead complex deal execution, mentor junior analysts, contribute to platform integration and best practices, and grow client relationships in private equity and M&A markets while working within a collaborative, high-performance culture that values innovation and positive impact.
🎯 Requirements
- • Bachelor’s degree required
- • 4–7 years of experience in M&A (law firm preferred), transactional insurance, or related financial services sectors
- • Strong understanding of M&A transaction mechanics, including purchase agreements and private equity structures
- • Experience supporting or leading complex deal execution processes
- • Exposure to RWI or other transactional risk products is strongly preferred
- • JD, Bar Admission, CFA, or other relevant transactional/M&A credentials strongly preferred
